Agape Superior Living International Ltd (hereafter Agape Superior Living or the Company) and each of its Distributors agree, to conduct their business according to the following code of conduct. This code ensures high standards of integrity and professionalism throughout the network and protects the business image of both the Distributor (hereafter Distributor) and the Company.

CODE OF CONDUCT

1. Obligations of the Distributor
a. To conduct themselves in an ethical and professional manner.
b. Deal with customers, other Distributors and the Company, with the highest standards of honesty, integrity and fairness.
c. Present the Company’s Compensation Plan realistically without exaggeration to all prospective Distributors.
d. Sell the Company’s products in accordance with the Company’s Compensation Plan. The Distributor shall make it clear that the Company’s marketing program is based on the sale of the Company’s products, and that Distributors will not be successful merely by sponsoring other Distributors without emphasis on product sales.
e. Comply with applicable consumer protection laws and regulations concerning the sale of the Company’s products.
f. Make no misleading sales claims or guarantees concerning the Company’s products.
g. Take responsibility for the training of those Distributors in their downline organisations, whether personally sponsored or not.
h. Wear appropriate business attire (and encourage guests to do the same) when attending Company sponsored presentations, to further enhance the Company’s and their own, professional public image.

2. Obligations of the Company
a. Conduct itself in an ethical and professional manner.
b. Deal with its Distributors, employees and suppliers with the highest standards of honesty, integrity and fairness.
c. Make available quality products and/or services to the Distributor in a timely manner.
d. Make compensation payments to qualified Distributors in accordance with the Company’s Compensation Plan then in existence.

ADMINISTRATION POLICIES

1. Entire Agreement
This statement of Policies and Procedures (along with the Compensation Plan) is incorporated into the Distributor’s Application and Agreement, and constitutes the entire agreement of the parties regarding their business relationship.

2. Distributor Status
A person or entity may become Distributor by completing, signing and returning, the Distributor Application and Agreement Form (Application) to the Company’s Corporate Office by mail or online, and purchasing a Business Pack. No other purchases are required; product purchases are optional. The Application becomes binding upon acceptance by the Company at its Corporate Office. Agape Superior Living reserves the right to reject any application or order, or cancel the Distributorship of any Distributor for failure to follow the Policies and Procedures outlined in this document and the Terms and Conditions. The Distributor agrees that they will be bound by the Terms and Conditions and the Policies and Procedures of the Distributor Agreement as it now exists or as it may be amended from time to time. If the Company rejects an individual, notification of such rejection will be mailed within ten (10) days from the date the Application was received at the Company’s Corporate Office:

Please note -
a. An Application received without the appropriate payment for the Business Pack will not be entered into the computer until the correct payment has been received.
b. Spouses and dependent children desiring to become Distributors must be in the same line of sponsorship.
c. If two (2) previously existing Distributors marry, each may continue to maintain their separate organisations.
d. For a corporation or partnership, the following requirement must be met: (i) A Company or Business contact must be included.
e. Any change to an Application must be amended on the website or notified to the corporate office in writing.

3. Restrictions on becoming Distributor
a. An Applicant must be of legal age in their state/province of residence to enter into this contract.
b. If Distributor has a simultaneous interest in more than one Distributorship, whether held as an individual, partnership or corporation, those Distributorships MUST be in the same line of sponsorship.
c. A Distributor must wait six (6) months after cancelling their Distributorship before re-applying to become aDistributor, becoming an employee of Distributor, or becoming an active participant with a Distributor under a different sponsor.

4. Independent Representative
As an Agape Superior Living Distributor, you are an independent contractor and not the purchaser of a franchise or business opportunity. The relationship between the Company and its Distributors is not to be construed as a franchise or a partnership. Distributors are independent contractors and may not represent, by implication or otherwise, that they are an officer, employee, agent, or owner of Agape Superior Living.

The Distributor is fully responsible for any and all actions and statements they make, regarding Agape Superior Living and/or its products, including being responsible for payment of their own taxes (Local, State and Federal), insurance, pension funds, workers compensation and the like. Distributors of Agape Superior Living have no authority to bind the Company to any contractual obligation, explicit or inferred.

5. Medical Claims
Distributors are explicitly prohibited from diagnosing any medical condition or from prescribing or suggesting any Agape Superior Living product as a form of treatment for any disease or condition. The law does not permit medical claims or purported cures. This is to protect the public from people who would deliberately suggest a substance or a device as a substitute for established diagnostic or medical advice or treatment. Agape Superior Living products are designed to be an important part of an individual’s healthy lifestyle. If a person is suffering from any serious medical condition, it is recommended that they speak to a medical professional prior to using any Agape Superior Living product. No claims as to therapeutic, curative or beneficial properties of any products offered by Agape Superior Living may be made except those contained in official Agape Superior Living literature.

In particular, no Distributor may make any claim that products offered by Agape Superior Living or its vendors are useful in the cure, treatment, diagnosis, or mitigation of any disease. Such statements can be perceived as medical or drug claims. Not only do such claims violate Company Policies, they potentially violate federal and state laws and regulations. The Company reserves the right to immediately cancel any Distributorship that breaches this Policy.

6. Indemnification
Distributors are fully responsible for all of their verbal or written statements regarding Agape Superior Living’s products, services, and Compensation Plan that are not expressly contained in official Company material. As such, Agape Superior Living Distributors agree to indemnify the Company, its Directors, officers, agents, and employees, and hold them harmless from any and all claims, damages, or liability, including, but not limited to judgements, civil penalties, refunds, legal fees, court costs, damages or lost business incurred by Agape Superior Living as a result of the Distributor’s unauthorised representations or actions. This provision shall survive the termination of the Distributor Agreement.

7. Insurance
A Distributor may wish to arrange insurance coverage for their business. Their homeowner’s insurance policy may not cover business-related injuries or the theft of, or damage to, inventory or business equipment. They should contact their insurance agent to make certain that their business property is protected. This can often be accomplished with a simple “Business Pursuit” endorsement attached to their present homeowner’s policy.

8. Compliance with Federal, State and Local Laws
Distributors shall comply with all federal, state, and local laws in the conduct of their business.

9. Sponsoring Policy
Every Distributor must have a Sponsor. Occasionally, more than one person may contact the same prospect and questions may arise as to who has sponsoring rights for that prospect. It is an unwritten courtesy that the prospective Distributor will generally be sponsored by the first Distributor who presented them with the complete business opportunity. However, each new Distributor has the right to choose their own Sponsor. The Company will not mediate disputes between Distributors and prospects and will recognise as the Sponsor, the individual whose name appears on the signed Application first received and accepted by the Corporate Office. A Distributor shall not unduly influence or in any way entice prospects with unreasonable or exaggerated representations as to possible income or business development.

10. Sponsor’s Responsibilities
All new Distributors have the right to receive free training and support from their sponsor. A sponsor is expected to provide information on how to obtain Company-approved literature and to give basic training to their newly sponsored Distributors. Distributors should assure the adequate training of Distributors they sponsor. “Adequate training” shall include (but not be limited to) education regarding Agape Superior Living Policies and Procedures, the Compensation Plan, product information, sound business practices, sales strategies, and ethical behaviour.

A sponsor should maintain an ongoing, professional leadership association with Distributors in their organisation and fulfil the obligation of performing as a bonafide sales supervisor and/or sales trainer in the sale or delivery of products and services to the ultimate consumer. Examples of such supervision may include, but are not limited to: newsletters, written correspondence, personal meetings, telephone contact, voice mail, electronic mail, training sessions, accompanying individuals to Agape Superior Living meetings, sharing genealogy information with those sponsored.

11. Transfer of Placement
Maintaining the integrity of the organisation is critical to success. Although it is strongly discouraged and is seldom permitted, a Distributor may request a transfer to a different placement position if the transfer is requested within 7 days of the Distributor Application being accepted by the Company. The following 3 signatures are required on the written request along with a USD$50 processing fee:
1) The requesting Distributor,
2) The original Sponsor, and
3) The original upline Distributor.

Any request for transfer must first be submitted to Agape Superior Living in writing, explaining the exact reason for the transfer request.All transfers require the final approval of the Company, whose decision, if granted, will apply only to the Distributor making the request and not to their organisation. The Company prohibits transferring from one placement position to another if more than 7 days have elapsed from the time the Company accepts the Distributor Application. A Distributor must wait six (6) months after cancelling their Distributorship before re-applying to become Distributor, becoming an employee of Distributor, or becoming an active participant with Distributor under a different sponsor.

12. Cross Sponsoring
Agape Superior Living Distributors may not introduce another network marketing or multi-level opportunity to any of the Company’s Distributors that the Distributor did not personally sponsor. A breach of this provision will mean the immediate cancellation of the offending Distributorship.

13. Poaching
Actual or attempted poaching is strictly prohibited. “Poaching” is defined as the enrolment or attempted enrolment of a current Agape Superior Living Distributor, or one who has been aDistributor within the preceding six calendar months, into a different line of sponsorship in Agape Superior Living. The use of a spouse or relative’s name, trade names, business names, assumed names, corporations, partnerships, trusts, federal ID numbers, or fictitious ID numbers to circumvent this policy is prohibited. Distributors cannot demean, discredit, or otherwise speak ill of other Agape Superior Living Distributors in an attempt to entice others to become part of their organisation. A Distributor cannot solicit nor intentionally interfere with other Distributor’s customers to encourage them to join a different organisation.

14. International Enrolling and Territories
Distributors may ONLY sponsor in countries in which the Company has its operations or as expressly allowed by the company. There are no exclusive territory assignments. All Distributors have the right to function anywhere within the areas of operation prescribed by the Company. However, any attempt to market products offered by the Company or any of its affiliates, or to sponsor Distributors in states/countries outside the Company’s prescribed areas of operation, will result in the immediate cancellation of the offending Distributorship. If Distributor relocates to a state/country outside the Company’s prescribed areas of operation, they may continue to market the program, but only in those states/countries within the prescribed areas of operation. They may not retail products or enroll new Distributors in the new state/country of residence until the Company declares that state/country to be open for business.Distributors will be given advance notice of any Company plans to expand into other countries.

15. Bonuses
To be eligible for bonuses, Distributor must have generated a minimum of 35 BV before the end of the last day of the volume month for which bonuses are to be paid. The volume month is considered to follow the normal calendar month unless otherwise specified.

16. Bonus Payments
Distributors are paid bonuses by the Company on the sale of products, according to the Compensation Plan. If a product is returned for a refund or is repurchased by the Company, the bonuses attributable to the returned or repurchased product(s) will be deducted, in the month in which the refund is given, and continue every pay period thereafter until the full bonuses have been recovered. The Company may also deduct from bonuses, any monies that may be owed by the Distributor to the Company, including, but not limited to, underpayment, postage due, and shipping charges. Bonuses are based on the sales volume produced and paid for in full.

To remain a Distributor and to continue receiving bonuses, Distributor must remain in good standing with the Company, comply with the Terms and Conditions of the Distributorship Agreement and the Policies and Procedures and maintain their active status.

17. Errors or Questions
If a Distributor has questions about, or believes errors have been made regarding their bonuses, down-line genealogy reports or charges, the Distributor must notify Agape Superior Living in writing within 14 days of the date of the purported error or incident in question. Agape Superior Living will not be responsible for any errors, omissions or problems not reported to it within 14 days.

18. Bonus Cheque Policy
To receive Bonuses, Distributor must fulfill the minimum Personal Sales Volume requirement.Bonuses will be issued in USD and transferred to the Distributors account with Agape Superior Living.All bonuses are subject to an Administration Fee to cover the costs of administration with the issuing of the bonuses. The Administration Fee will be USD$2.00 for cheques and transfers to bank accounts within Australia and the relevant bank charges for international transactions. Bonuses will only be paid to Distributors once they have accumulated a minimum of USD$50 in commission.

19. Distributor Lists
Distributor genealogy lists are confidential and the property of Agape Superior Living. The Company has compiled and currently maintains Distributor lists through the expenditure of considerable time, effort and monetary resources. Distributor lists, in past, present and future forms, constitute commercially advantageous proprietary assets and trade secrets of the Company, which the Company’s employees have agreed to hold confidential.The Company will provide each Distributor with a genealogy list of their downline organisation via the Internet. The Distributor genealogy lists are provided for the exclusive and limited use of the recipient to facilitate the training, support, and servicing of the recipient’s downline organisation for furtherance of Agape Superior Living-related business only. Each recipient agrees that any such use, within its intended scope, constitutes a separate exclusive license agreement between the recipient and the Company.

The Distributor genealogy lists remain, at all times, the exclusive property of the Company.

Accordingly, each recipient agrees:
a. To hold confidential and not disclose any Distributor list or portion thereof to any third person, including, but not limited to, other existing Distributors, competitors and/or the general public.
b. To limit the use of the lists to their intended scope of furthering the Distributor’s Agape Superior Living-related business.
c. That any intended on unintended use or disclosure of the lists outside of those authorised herein, or for the benefit of any third person, constitutes misuse and misappropriation which causes irreparable harm and financial loss to the Company.
d. That, upon any violation under this Section, the Company will seek appropriate injunctive relief and damages against the offending Distributor.
e. That the obligations under this Section will survive the cancellation of the recipient’s Distributorship Agreement.

The Company reserves the right to pursue all appropriate remedies under applicable national or local laws to protect its rights to the above stated proprietary and trade secret Distributors lists. Any failure to pursue such remedies will not constitute a waiver of those rights.

20. Lead Distribution Policies
Distributors should carefully consider whether to organise a large lead generation campaign or casually collect leads one at a time. If Distributor mails or distributes literature or product samples, they should always include their name, address and/or telephone number on the materials or samples.From time to time, the Company could receive inquiries from the public about its products and opportunity. When this occurs, the Company tries to ascertain whether the contact with the Company began with the efforts of an existing Distributor. If so, the inquiring party will be referred back to that Distributor.

Leads involving people who have simply heard of the Company without any discoverable contact by an existing Distributor will be assigned, on a rotating basis, to an active Qualified Business Director or above, who has demonstrated leadership and training capabilities and who lives in the same geographical area. However, the Company may use its sole discretion in making such assignments.

21. Contacts between Distributors and Employees
Company employees are trained to be courteous and professional in all contact with Distributors. Should a Distributor ever receive less than this from Company personnel, they should document the situation and forward it to the Office Manager for immediate review. Distributors will be notified of any action taken. Distributors are expected to extend these same courtesies when dealing with the Corporate Office staff, either on the telephone or in person. Company employees are not required to endure verbal abuse. Whenever they feel this is occurring, they are to turn the call over to a supervisor. If this is not possible, they are to politely end the conversation and document the incident. This documentation will also be forwarded to the Office Manager of the Company for review and any appropriate action. This could lead to the cancellation of the offending Distributorship in severe circumstances.

22. Inactivity
If Distributor does not order any Agape Superior Living products for six (6) consecutive months, Agape Superior Living will consider that Distributorship to be inactive. The Company will e-mail the Distributor, advising them that if the Company does not receive an order of at least 35 B.V. by the end of the calendar month, the Distributorship will be cancelled. The Distributor’s Sponsor and upline will also be notified. This provision will be waived, at the sole discretion of the Company, if the Distributor has been ill or overseas for an extended period of time, as long as the Distributor has notified the Company in writing prior to the end of the 6-month inactivity. The downline of the cancelled inactive Distributor will then role up to the first active Upline Distributor.

23. Sale, Assignment or Transfer of a Distributorship
A Distributorship that has not been “active” (have at least 35 BV) in each of the six months prior to the sale date, may not be sold or assigned.Distributors should consult a lawyer to ensure that the sale of the Distributorship conforms to all applicable laws and regulations.Distributor may sell, assign, or transfer their Distributorship as long as the purchaser is not an existing Distributor or Distributor who has cancelled their Distributorship within the previous six (6) months, is married to or is a dependent of an existing Distributor, or has an interest in another Distributorship, subject to the following:

The Distributor may not sell, assign or transfer their Distributorship without the prior written approval of the Company. The Company will void any attempted sale, assignment or delegation without such consent. If the assignment procedures are properly followed, the Company may not unduly deny any assignment of a Distributorship, provided the assignee completes a current Application and possesses reasonable ability to satisfactorily perform the obligations of Distributor. The Distributorship position must first be offered in writing to the Sponsor, giving them the right and option to meet the terms of the proposed sale. If the Sponsor does not exercise the option to purchase within ten days, the Distributor may offer the position for sale to anyone who is not already participating in a Distributorship. In other words, if the Sponsor declines the offer, then the position may be sold to someone outside Agape Superior Living’s marketing program who, if they take up the offer, will assume the position and rank of the seller. The offer must be on the same terms and conditions as offered to the Sponsor. Distributor who sells their position shall not be eligible to reapply as Distributor for a period of 6 months after the Company has approved the sale in writing.

The seller must provide to the proposed buyer, in writing, details of the Distributorship’s last six months activity.The Company reserves the right to review all terms of sale and may insist upon additional terms and conditions before approval of any proposed sale.If it is determined, at the Company’s sole discretion, that a Distributorship was transferred to circumvent compliance with the Distributor Agreement, the Policies and Procedures or Compensation Plan, the transfer shall be declared null and void. The Distributorship shall revert to the transferring Distributor, who shall be treated as if the transfer had never occurred from the reversion date forward. If necessary, and at the Company’s sole discretion, appropriate action (including cancellation of the offending Distributorship) may be taken, to ensure compliance with the Distributor Agreement and the Policies and Procedures.

24. Inheritance
Notwithstanding any other provision of these Policies and Procedures, upon the death or incapacity of Distributor, the Distributorship shall pass to the successors in interest as provided by law. The Company may require legal documentation before the transfer can become effective. The successor shall thereafter be entitled to all the rights and be subject to all the obligations of any other Agape Superior Living Distributor.

25. Voluntary Cancellation of a Distributorship
Distributor shall be entitled to cancel their Distributorship at any time and for any reason upon sending written notice to the Company and their Sponsor. Upon notification of cancellation, the Company will re-purchase any inventory in accordance with the Agreement. The cancelling Distributor will be eligible to re-apply again after six (6) months, but must begin at the entry level and create a new downline organisation. Any involvement in the marketing of the Company’s products before the new Application has been accepted, will be cause for denying them re-entry into the program.

26. Actions of Household Members or Affiliated Individuals
If any member of Distributor’s immediate household engages in any activity that, if performed by the Distributor, violates any provision of the Agreement, such activity will be deemed a violation by the Distributor and Agape Superior Living will take the necessary disciplinary action against the Distributor. Similarly, if any individual Distributor, in any way, with a Distributorship, be it a corporation, partnership, trust or other entity (collectively “affiliated individual”), violates the Agreement, such action(s) will be deemed a violation by the Distributorship, and Agape Superior Living will take the necessary disciplinary action against the Distributorship.

27. Separation of a Agape Superior Living Business
Distributors sometimes operate their Agape Superior Living businesses as husband-wife partnerships, regular partnerships, corporations, or trusts. At such time as a marriage may end in divorce or a corporation, partnership or trust (the latter four entities are collectively referred to herein as “entities”) may dissolve, arrangements must be made to assure that any separation or division of the business is accomplished so as not to adversely affect the interests and income of other businesses up or down the line of sponsorship. If the separating parties fail to provide for the best interests of other Distributors and Agape Superior Living, the Company will cancel the offending Distributorship Agreement and “roll” the entire organisation up.

In the case of a pending divorce or entity dissolution, the parties must adopt one of the following methods of operation:
a) One of the parties may, with the consent of the other(s), operate their Agape Superior Living Business pursuant to an assignment in writing whereby the relinquishing spouse, shareholders, partners, members or trustees authorise the Company to deal directly and solely with the other spouse or non-relinquishing shareholder, partner or trustee.
b) The parties may continue to operate their Agape Superior Living Business jointly on a “business-as-usual” basis, whereupon all compensation paid by the Company will be paid in the joint names of the parties or in the name of the entity to be divided as the parties may independently agree between themselves.

Under no circumstances will a Distributorship be divided. Similarly, the Company will only issue one bonus per Distributorship per bonus cycle. If the parties to a divorce or dissolution proceeding are unable to resolve their dispute over the ownership of the business, the Distributorship Agreement may be cancelled. If Distributor has completely relinquished all rights to their original Agape Superior Living Business, they are free to enrol under any sponsor of their choosing, as long as they meet the six (6) month waiting period requirement. In such case, however, the former Distributor shall have no rights to any Distributor or retail customer in their former organisation. They must develop a new business in the same manner as any other new Distributor.

28. Distributor Violations
The Company reserves the exclusive right to cancel the Distributorship of any Distributor who violates any provision of the Distributor Agreement or any policy or procedure. The Company must be notified in writing of any and all details. Including but not limited to, the date(s), location(s), and nature of the violations, and the identity of the Distributor who has allegedly violated the Policies and Procedures. The Distributor will be notified in writing by the Company advising of the alleged violation. The Distributor shall have 10 days from the date of notice to respond to the allegation(s).

Upon review of the response, if any, the Company shall notify the Distributor in writing of any disciplinary actions imposed. The Distributor will then have 21 days in which to appeal the disciplinary action in writing to the Company. If Distributor files a timely appeal, the Company will, at its sole discretion, review and reconsider its judgement and notify the Distributor of its decision within 10 days. The final decision of the Company shall be final and subject to no further review. If the appeal is denied, the original judgement shall remain in effect as of the date of the Company’s original notice. The Company can elect:
Disciplinary Action
(i) Probation- Distributor may be placed on probation for a period of 30, 60 or 90 days. If the Company deems any further disciplinary action necessary by the end of the probationary period, the Distributorship could either be suspended or cancelled.
(ii) Suspension- As an alternative to cancellation, Distributor may be placed on suspension, which constitutes a loss of income and benefits normally accorded a Distributorship in good standing, throughout the term of suspension. The suspension period will be proportional to the nature of the violation(s). The right of a suspended Distributor to receive bonuses from the Company ceases immediately from the date of suspension through to the end of the suspension period. A suspended Distributor must cease selling the Company’s products, sponsoring, using the Company’s promotional materials, representing himself or herself as Distributor or acting in any way that may jeopardise or harm the business of Agape Superior Living or its Distributors. A suspended Distributor will also lose access to the “Members Area” of the website.
(iii) Cancellation- To protect its business and that of its Distributors, the Company reserves the right to immediately cancel its Agreement with any Distributor at any time, if the Distributor breaches any of the Terms and Conditions or Policies and Procedures. Such “Notice of Cancellation” shall be in writing. The Company reserves the right to void the cancellation at any time, and set any terms or conditions for the reinstatement it considers appropriate.
(iv) The right of a cancelled Distributor to receive bonuses from the Company ceases immediately from the date of the cancellation. Furthermore, a cancelled Distributor must stop enrolling, using The company’s promotional materials, representing themselves as a Distributor or acting in any way which may jeopardize or harm the business of the Company or its Distributors. A cancelled Distributor will also lose access to the “Members Area” of the website.
